Immofinanz starts preparations for squeeze-out of S Immo

The Supervisory Board of Immofinanz has approved the commencement of preparations for a squeeze-out of S Immo in accordance with the Austrian Squeeze-out Act. In the course of the squeeze-out, shares in S Immo held by minority shareholders shall be transferred to Immofinanz as the main shareholder in exchange for appropriate cash compensation.

Immofinanz wants to increase shareholding in S Immo to over 50%

Immofinanz has received approval from its Supervisory Board to enter into negotiations with its core shareholder CPI Property Group concerning the acquisition of shares in S Immo. Currently, Immofinanz directly holds approx. 26.49% of S Immo. CPIPG directly holds 52.7% of S Immo, which may further increase as a result of CPIPG’s mandatory takeover offer over S Immo.

Immofinanz announces changes in its Executive Board

After the successful completion of the mandatory takeover offer of CPI Property Group on Immofinanz the Supervisory Board and the members of the Executive Board Dietmar Reindl and Stefan Schönauer mutually agreed today in relation to the Change of Control Event, that their contract as board members shall end on 8 June 2022. Dietmar Reindl and Stefan Schönauer will continue to work for the Company as advisors to the Executive and Supervisory Board until 31 December 2022.

CPI Property Group prepares to take over S Immo

S Immo has received a request from shareholder CPI Property Group to convene an extraordinary shareholders' meeting. The motion is to resolve the abolishment of the 15 % voting cap set in the Articles of Association of S Immo. In addition, CPI Property Group has announced its intention to make a mandatory offer for all shares in S Immo not held by CPI. At the moment, CPIPG, directly and indirectly, owns a total of 42.6% in S Immo.

Immofinanz issues statement on CPIPG takeover

The Executive Board and Supervisory Board of Immofinanz have issued supplementary statements on the announcement by CPI Property Group SA (CPIPG) of the increase in the offer price to €23.00 per share (cum dividend) and increase in CPIPG’s investment in Immofinanz to roughly 48.18% through the purchase of shares from S Immo AG. The Executive Board and Supervisory Board still view the improved offer price as too low given the successful development of Immofinanz and the current value of the company. Moreover, the offer price does not include an appropriate control premium in connection with CPIPG’s intention to attain control over Immofinanz.

CPI Property Group acquires S Immo's stake in Immofinanz

CPI Property Group and a subsidiary of S Immo (CEE Immobilien GmbH) signed an agreement concerning the acquisition of 17,543,937 Immofinanz shares, corresponding to a participation of approx. 12.69% of the total nominal share capital of Immofinanz. The agreement also covers the acquisition of additional shares eventually tendered into the voluntary partial tender offer for shares of Immofinanz published by CEE Immobilien GmbH on 23 December 2021. The purchase price per share amounts to €23.00 cum dividend. Following the transaction, CPIPG has undertaken to improve its takeover offer price (from the previous €22.70) in accordance with the Austrian Takeover Act accordingly.

New leases

  • Intersport is set to expand its Romanian footprint by opening its largest store within the Iulius network at the Rivus urban regeneration project, which is under development in Cluj. Spanning more than 1,000 sqm, the new location will serve as a flagship store.
  • HS Hydro & Spa has leased space at Logicor Bucharest III Pallady, in a deal brokered by iO Partners.
  • Piața 9 will open its first Bakery P9 location in Bucharest, on a 200 sqm area located on the ground floor of Victoria Center office building. The deal was brokered by Colliers.

New appointments

  • PSN has expanded its acquisitions team with the arrival of Martin Šrytr as Business Development Manager. Most recently, he served as Real Estate Expansion Manager at Twistcafe Group, supporting the company’s EMEA growth. His previous experience includes consulting at Cushman & Wakefield, advisory roles at Prochazka & Partners, and management positions within IWG.
  • iO Partners has announced key leadership changes within its Czech Republic operations as part of its ongoing business evolution. Milan Kilik has been appointed as the new Head of Office Leasing, with a particular focus on client advisory and team collaboration. Concurrently, Petr Kareš has transitioned into the role of Occupier Business Development Director. In this new capacity, he will be responsible for identifying new market opportunities and integrating services across Tenant Representation, Project Management, and Industrial Leasing.
  • Romanian office developer Genesis Property has appointed Cătălin Niculiță as Leasing Manager. With nearly 20 years of experience in the real estate industry, he has held leadership roles at real estate companies such as Atenor, collaborating with major office tenants in the banking, telecom, and IT sectors.
