Immofinanz buys into S Immo

With the signing of share purchase agreements, Immofinanz AG has purchased 19,499,437 bearer shares (representing an investment of 29.14%) of S Immo AG from member companies of the RPR Group (approx. 14.6 million shares) and the SIGNA Group (approx. 4.9 million shares). The transaction is subject to various conditions precedent, in particular, the approval of the antitrust authorities in Austria, Germany and other jurisdictions. The Supervisory Board of Immofinanz approved the purchase today.

Immofinanz posts 2017 financial results

Net profit from continuing operations (i.e. excluding Russia) returned to the profit zone with a significant improvement to €181.0 million in 2017 (2016: €-147.4 million). That represents earnings per share of €0.17 (2016: €-0.15). Rental income was slightly higher at €234.5 million (2016: €233.4 million) despite the continuing sale of properties which do not fit in with the corporate strategy. After an adjustment for new acquisitions, completions and sales (like-for-like), rental income grew by a sound 4.5% to €200.0 million (annualised). The results of Asset Management rose by 13.4% to €150.8 million. In total, the results of operations increased by 44.4% to €107.6 million (2016: €74.5 million). Financial results turned substantially positive at €88.8 million (2016: €-107.6 million), above all due to positive valuation effects from the investments in CA Immo and BUWOG and a reduction in financing costs.

Immofinanz rejects Starwood’s bid

Last week an affiliate of U.S. private equity firm Starwood Capital Group (SOF-11 Starlight 10 EUR) announced that it intends to make a voluntary partial public takeover offer for the acquisition of up to 5% in Immofinanz. The Executive Board of Immofinanz determined that the offer price is too low.

Immofinanz secures financing for Warsaw office portfolio

Berlin Hyp and Erste Group Bank have jointly provided Immofinanz a five year secured loan in the amount of €205 million. The syndicate is providing Immofinanz a “one stop” portfolio-refinancing for their office portfolio in Warsaw and is thus replacing seven existing, individual real estate loans. Agent for this transaction is Berlin Hyp.

Immofinanz reaches refinancing volume of €1.6 billion in FY 2017

Immofinanz refinanced approximately €1.6 billion of financial liabilities during the 2017 financial year. This volume represents roughly 60% of the group’s financial liabilities as of 30 September 2017 and covers extensions as well as new borrowings. The transactions will reduce future interest expense by roughly €18.3 million per year.

New leases

  • Adara, a distributor of cosmetic ingredients of the German manufacturer Evonik, has decided to move into Oxygen Park. The company has leased 366 sqm of office space located at the 4th floor of Building A in the Warsaw complex owned by Golden Star Group.
  • Fashion retailer Primark will open a new store spanning 3,700 sqm in VIVO! Shopping Centre, Cluj-Napoca, in 2025. At present, the retailer has two stores in Bucharest and will open a new one in Timișoara later this year.
  • Logistics operator Just in Time Logistic has leased around 300 sqm in the DL Tower multifunctional building in Katowice (SIlesia, Poland).

New appointments

  • Polski Związek Firm Deweloperskich (Polish Association of Property Developers) elected new authorities at its general meeting in Katowice. Maciej Wandzel was elected chairman of the board. He will replace Grzegorz Kiełpsz, who became honorary president of the PZFD.
  • Piotr Herian has taken up the position of ISS CFO for Poland and the Baltics. ISS is a leading company in the creation of friendly workplaces and comprehensive facilities management.
  • Paulina Strutyńska has been promoted to the position of Leasing & Asset Director at Skanska’s commercial development business unit. She is now responsible for leasing processes in the Warsaw market as well as Key Customer Management. Agnieszka Krawczyk-Rogowska is responsible for project commercialization and client liaison in Gdańsk, Kraków, and Bucharest, while Marek Stasieńko is responsible for the Wrocław, Poznań, and Łódź markets.
